Your are accesing a website that is hosted and managed by MPO Secure Systems Data Base driven systems, therefore all users must comply with the Terms and Conditions described below. These terms and conditions constitute a legal agreement between the user of this website and MPO Secure Systems. Please read this agreement in it’s entirety before you continue to use this website.

Description of Service: MPO Secure Systems offers online services to registered users, including but not limited to high-resolution image and document proofing, file transfer, portfolio display, product cataloging, combined with applications to enable goods to be offered for sale to member’s customers. Member’s use these services independently and manage all customers and orders with management tools provided by MPO Secure Systems. Refer to each members home page to learn about each members policies regarding order status, returns, shipping, promotions, or any other issue related to orders or content posted or executed online.

Access to Service: In order to obtain access to use MPO database system websites or any of the websites associated to its services, you must obtain access to the World Wide Web on your account, by using devices that access web-content. and pay any associated fees associated with such access. In addition you must be a registered member of MPO Secure Systems and your account to be in good standing, or be a customer with a current account with any of MPO Secure Systems’s members. You must provide all equipment necessary to access the World Wide Web, and in case your organization uses a firewall or proxy server, you have to make sure that they are set to allow secured (SSL) communication.

After your membership or customer’s account has been established you’ll receive confirmation via e-mail of your membership/account user name and password. Safekeeping of such confidential information is the responsibility of the user. Members and customers shall not share user names and passwords with third parties that do not agree with all the terms and conditions of MPO Secure Systems.

No one using this website shall alter, delete, tamper or change files or data that will affect its integrity, functionality or applicability. Any unauthorized change, alteration, deletion, or tampering of this website’s programming code and functional technical structure will be prosecuted to the full extent of the law.

Content of Submissions: Members are solely responsible for all files uploaded to this Data System, including but no limited to data, text, photographs, graphics, video, messages, images, software, music, sound, or other materials whether publicly posted or privately transmitted. MPO Secure Systems, does not control any content posted via its service and cannot guarantee the accuracy, integrity, or quality of such content. MPO Secure Systems does not control any orders generated from its service, nor the quality or delivery of the products being offered using its service. All questions regarding orders, shipping, payment, charges, shall be directed to the corresponding member responsible for the corresponding orders/customers. MPO Secure Systems claims no ownership rights in the content you place on its service. By submitting content to MPO Secure Systems’ system services you grant MPO Secure Systems permission royalty-free, non exclusive license to reproduce, modify, adapt, and publish, the content solely for the purpose of displaying, collaborating on, distributing, and promoting, your content on MPO Secure Systems and it’s online image proofing and product cataloging services. This license exists only for as long as members continue to be an MPO Secure Systems member, and will terminate at the time your membership is terminated.

MPO Secure Systems will have, in its sole discretion, the right (but no obligation) to review, screen, refuse, remove, or discard any content that violates the terms of service or its otherwise objectionable. Members will evaluate, and bear all risks and liabilities associated with, the use of any content, including any reliance on the accuracy, completeness or usefulness of such content. Members are responsible for protecting their images and other content against copyright violations, and in the case of any copyright infringement by any user of MPO Secure Systems’ services, the member will hold MPO Secure Systems and it’s parent company harmless from any legal action or financial damages that arises from such action.

Compliance with Applicable Laws: Members are solely responsible for the content of the files, product offered, and processing of orders, generated from the use of MPO Secure Systems services and online systems. All users of this website and other MPO Secure Systems services and online systems, warrant that the files stored, product offered, orders taken, and other actions performed within this website, do not infringe any copyright patent, trademark, trade secret, or other proprietary right or right of publicity or privacy of any third party, do not violate the law, rule, statute, ordinance, or regulation, including without limitation those governing exports, re-exports, encryption, unfair competition, anti-discriminatory laws, and false advertising, are not defamatory or trade libellous, do not contain any harmful or deleterious software viruses or other programming routines or codes designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment, are not obscene, pornographic or indecent, or are distributed, if they contain adult content, only to people legally permitted to receive such adult content. In connection with the foregoing every user of this website and any other MPOmedia services and online systems agree to comply with any applicable laws and regulations, including those of the United States, Canada and any other country or countries to which and from which you will access, send or collaborate on files.

Prohibited Uses: The following are prohibited within the MPO Secure Systems services and online systems: the posting or transmission of abusive, profane, libellous, slanderous, threatening or harassing material; the solicitation of other MPO Secure Systems members or the solicitation to other member’s customers; the sending of unsolicited electronic mail messages whether commercial or not to large number of recipients (SPAM); the sale or cataloging of illegal, toxic, or otherwise harmful product, MPO Secure Systems reserves the right to determine what products fit this description; the postings to unauthorized links to other websites or any other unauthorized use of the applications, tools, and services that MPO Secure Systems offers; the use of any referral type links from other websites that directly affect the functionality of the MPO website system; the sending of unsolicited e-mail or any other form of electronic transmission to other individuals or other websites without prior consent; the use of Demo accounts for commercial purposes is also prohibited.

Liability of Breach: For each violation by the user (Member or Member’s customer) the user agrees to pay MPO Secure Systems damages to compensate for the lost of goodwill such violation causes. Payment by the user shall not prevent MPO Secure Systems from seeking to obtain other legal remedies against you, including other damages or an injunction.

Informational messages: Within reason, MPO Secure Systems may send informational messages to your account (or corresponding e-mail address) maintained by you, in order to announce updates regarding service, schedule maintenance, etc.

International Use: Because the global nature of the Internet, users will comply with all local rules regarding online conduct and acceptable content, including all applicable laws regarding the transmission of technical data exported from the United States or the country in which the user resides.

Termination of Services: MPO Secure Systems reserves the right to terminate service and to block access to the service to members and it’s customers, for the following reasons: non-payment of monthly dues for services rendered, non-compliance to the Terms of Service agreement, the use of any practice listed under the prohibited uses section of this document, complaints filed by other users, or any other reason that MPO Secure Systems considers threatening to the integrity of the website or other users/members. In the event of termination of service, reasonable notice will be given in advance, and reasonable time will be given to the member to respond to the notice. If termination occurs, a reapplication can be accepted, and upon acceptance a reconnection fee of US$50 will apply. After 60 days of termination, if reapplication has not been received all files and customer information will be permanently deleted from the database without further notice. Members cannot retrieve files or other information from the data base if termination occurs. The purchase of the graphic design of the home pages or other presentation content containing the Member’s information and logos may be available for sale, the price will be determined by the amount of graphic design work and content, the price not to exceed US$2,000.

Intellectual Property: MPO Secure Systems retains all right, title and interest in all websites within the network of MPO Secure Systems database, including but not limited to programming code, graphic design layout copyright, all trademarks and patents related to the MPO Secure Systems network, and any other feature/image/graphic/layout except of those images/layouts/graphics that specified copytight ownership by a third party. No title or ownership rights are transferred to members or customers, except a limited right to use the service and online systems as contemplated herein.

All graphic design, programming code, webpage graphics, and the technology used to run the MPO Secure Systems and online systems are of the ownership of MPO Secure Systems parent companies, all rights reserved.

Limitation of Liability: Members of MPO Secure Systems services and online systems, are fully responsible for any orders, image proofing, portfolios, products for sale, and any other content displayed under their webpages. The members assume all risk as to the use of the services and acknowledge that MPO Secure Systems is not responsible for the contents of any files. In no event will MPO Secure Systems, it’s officers, directors, employees, suppliers, or partners be liable with any respect to any transactions and/or the use, license or delivery of any services for costs of substitute products or services or for any damages or penalties (including lost profits or any consequential, special, incidental, exemplary, punitive or indirect damages) however caused and irrespective of the theory of liability (including and without limitation, negligence or strict liability), arising out of the agreement, the inability to use the services and/or failure of any type of the services, whether or not MPO Secure Systems has been advised of the possibility of such damages or penalties. Without limiting the generality of the foregoing, in no event shall MPO Secure Systems liability with the respect to any transaction and/or use, licence or delivery of any services exceed the aggregate amounts (if any) paid or payable by you to MPO Secure Systems pursuant to your use of the services. Without limiting the generality of the foregoing, MPO Secure Systems’ aggregate liability arising out of this agreement (including but not limited to, the inability to use the services and/or the failure of any type of the services) with respect to any and all claims and /or damages (direct or otherwise) or penalties or loss to you or to you recipients or to any third party (regardless of the form of action or claim, whether in contract, tort, delict or otherwise) shall not exceed US$50.00 if you are a paying subscriber.

Miscellaneous:

Currency Fees and Taxes: Unless otherwise indicated, all prices listed in connection with any of the services are in United States dollars. All membership dues shall be made in the form of US$ currency.

Members are responsible for all local and state applicable sales and state taxes generated from the transactions conducted within MPO Secure Systems services and online systems.

Resale of Service: Resale of the service provided or any portion of it is not allowed. If determined that two or more companies are sharing one service the applicable amount will be billed, and the appropriate notice will be delivered to comply with this agreement.

Language: This agreement is in the English language only. Any other versions in other languages may be provided as a courtesy, pursuant the availability of a capable translator. The user of this website/s agrees that he/her understands fully the contents of this agreement.

Agreement modifications; MPO Secure Systems may modify the Terms of Service Agreement at any time, and such modifications shall be effective upon posting of the modified Agreement in the Terms of Service section of this website.

IF YOU DO NOT WISH TO BE BOUND BY THIS AGREEMENT, YOU MAY NOT ACCESS OR USE THE SERVICE, IN THIS CASE, STOP USING THIS WEBSITE IMMEDIATELY.
